Healthcare Transactions

Healthcare clients have many of the same corporate and business needs as other clients of the Firm have so we frequently use a team approach to these matters, relying on other Firm Attorneys in the Transaction Practice Group with expertise in tax, real estate, securities, business structure and mergers and acquisition. The Firm's Healthcare Attorneys bring to this collaboration their unique perspective and specialized regulatory and statutory knowledge that applies to healthcare transactions. Our work includes:

  • Preparation of medical staff bylaws, policies and related documents
  • Preparation of healthcare entity policies and procedures
  • Designing and implementing corporate, HIPAA, Medicare Part D, EMTALA and other compliance programs
  • Advising providers on regulatory and reimbursement matters arising under Medicare and Medicaid, including anti-kickback, Stark and private inurement
  • Representing start-up healthcare entities in acquisition of certificates of need, licenses and Medicare provider status
  • Representing healthcare entities in mergers, acquisitions and joint ventures

Examples of healthcare transactional matters for which our Firm has been engaged in recent years are:

  • Assisting in the development of the first continuing care retirement community in Oklahoma, including acquisition of a certificate of need, preparation of all documents necessary for securities compliance, and serving as borrower's counsel in the tax-exempt financing
  • Representing a tax-exempt hospital in a sale to a for-profit hospital, including assistance with acquisition of fairness opinion, due diligence and all other matters attendant to the sale
  • Providing all HIPAA guidance, training and education to a large integrated delivery system with seven different facilities
  • Revising all resident agreements, vendor contracts and physician contracts for a multi-facility long-term care provider
  • Representing buyers and sellers in purchases and sales of hospices and nursing facilities
  • Serving as borrower's counsel in a multi-million dollar tax-exempt bond financing for a tertiary care hospital, including preparation of a private placement memorandum, performing all requisite due diligence and providing an opinion of counsel
